PEDAL SPICE TERMS OF SERVICE

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "User") and Wampler Pedals, Inc., an Indiana corporation with its principal place of business in Martinsville, Indiana, USA ("Wampler Pedals," "we," "us," or "our"), governing your access to and use of the Pedal Spice circuit simulation software and related services (collectively, the "Service"). By creating an account, clicking to accept these Terms, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not access or use the Service.
1. Eligibility and Accounts
1.1. You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to create an account. Minors may use the Service only under the supervision of, and with the consent of, a parent or legal guardian who agrees to be bound by these Terms on the minor's behalf.
1.2. You must provide accurate and complete registration information, including a valid email address, and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account.
1.3. Each individual may maintain only one account. Accounts may not be shared, transferred, or sold.
2. Free Plan and Trial Period
2.1. Upon first opening the editor, each new account is granted access to all features of the paid plan for a period of seven (7) days (the "Trial Period"). Upon expiration of the Trial Period, unless you have purchased a subscription, your account will be placed on the free plan, which is subject to limitations on, without limitation, the number of saved circuits, adjustable controls, audio renders, exports, circuit blocks, and starter circuits, as described on the Service.
2.2. Content you create during the Trial Period will remain in your account and will continue to function; free-plan limitations apply only to the creation of new content and use of restricted features thereafter.
2.3. The Trial Period is offered once per individual. Creating multiple accounts to obtain additional Trial Periods is prohibited and constitutes a material breach of these Terms. We reserve the right to suspend or terminate any account created in violation of this Section.
2.4. We reserve the right to modify or discontinue the Trial Period and the free plan, or to change their limitations, at any time.
3. Subscriptions, Fees, and Payment
3.1. Paid access to the Service is provided on a subscription basis, billed in advance on either a quarterly (three-month) or annual basis, as selected by you at the time of purchase (a "Subscription"). All fees are stated in United States dollars.
3.2. Payments are processed by Stripe, Inc. ("Stripe"). By providing a payment method, you authorize us and Stripe to charge that payment method for all fees due, including recurring Subscription fees and any applicable taxes. Your use of Stripe's services is subject to Stripe's own terms and privacy policy.
3.3. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH SUBSCRIPTION PERIOD FOR A SUCCESSIVE PERIOD OF THE SAME LENGTH, AT THE THEN-CURRENT SUBSCRIPTION FEE, UNLESS YOU CANCEL PRIOR TO THE END OF THE CURRENT PERIOD. You may cancel at any time through the subscription management page available within the Service. Upon cancellation, you retain paid access through the end of the period for which you have already paid, after which your account will be placed on the free plan. No further charges will be made following cancellation.
3.4. We may change Subscription fees from time to time. We will provide notice of any fee change by email to the address associated with your account before the change takes effect for your next renewal. Your continued use of the Service after the effective date of a fee change constitutes acceptance of the new fee.
3.5. Except as required by applicable law, all payments are final and non-refundable, including for partial Subscription periods. If you believe you have been charged in error or have experienced a problem with the Service, please contact us at legal@wamplerpedals.com and we will work with you in good faith to resolve the matter.
3.6. If a recurring payment fails, we may retry the charge and, if payment is not obtained, cancel your Subscription and place your account on the free plan.
4. Your Content
4.1. You retain all right, title, and interest in and to the circuits, schematics, files, and other materials you create or upload using the Service ("User Content"). We claim no ownership of User Content.
4.2. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display your User Content solely as necessary to provide, maintain, and improve the Service for you, and, where you elect to share User Content through a sharing feature of the Service, to display it to those with whom you have shared it.
4.3. You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe or violate the rights of any third party or any applicable law.
5. Our Intellectual Property
5.1. The Service, including without limitation the Pedal Spice software, its source and object code, user interface, starter circuits, circuit blocks, component models, documentation, trademarks, and all related intellectual property, is owned by Wampler Pedals, Inc. and its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
5.2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. No other rights are granted, whether by implication, estoppel, or otherwise.
5.3. You shall not, and shall not permit any third party to: (a) copy, modify, adapt, translate, or create derivative works of the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Service or any part thereof; (d) remove or alter any proprietary notices on the Service; or (e) use any automated means to access or extract data from the Service.
6. Nature of the Service; Disclaimer of Warranties
6.1. THE SERVICE IS A SOFTWARE SIMULATION INTENDED FOR EDUCATIONAL AND EXPERIMENTAL PURPOSES. SIMULATION RESULTS ARE APPROXIMATIONS AND MAY DIFFER, MATERIALLY OR OTHERWISE, FROM THE BEHAVIOR OF PHYSICAL COMPONENTS, CIRCUITS, AND POWER SUPPLIES. A CIRCUIT THAT FUNCTIONS IN SIMULATION MAY NOT FUNCTION, MAY FUNCTION DIFFERENTLY, OR MAY BE UNSAFE WHEN PHYSICALLY CONSTRUCTED.
6.2. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR THE DESIGN, CONSTRUCTION, TESTING, AND USE OF ANY PHYSICAL CIRCUIT OR DEVICE BASED ON OR INFORMED BY THE SERVICE. WORK INVOLVING MAINS VOLTAGE OR OTHER HIGH-VOLTAGE CIRCUITS CAN CAUSE SERIOUS INJURY OR DEATH AND SHOULD BE UNDERTAKEN ONLY BY PERSONS WITH APPROPRIATE TRAINING.
6.3. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY SIMULATION RESULT WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE FOREGOING EXCLUSIONS MAY NOT APPLY TO YOU.
7. Limitation of Liability
7.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAMPLER PEDALS, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY DAMAGE TO EQUIPMENT, PROPERTY, OR PERSON ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, OR TO ANY CIRCUIT OR DEVICE DESIGNED, SIMULATED, OR CONSTRUCTED WITH REFERENCE TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (US$50).
7.3. The limitations in this Section 7 are fundamental elements of the basis of the bargain between you and us and shall apply notwithstanding any failure of essential purpose of any limited remedy.
8. Indemnification
You agree to defend, indemnify, and hold harmless Wampler Pedals, Inc. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your User Content, (b) your violation of these Terms, (c) your violation of any applicable law or the rights of any third party, or (d) any physical circuit or device you construct.
9. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) interfere with, disrupt, or place an unreasonable load on the Service or the servers and networks connected to it; (c) circumvent, disable, or otherwise interfere with any plan limitation or security feature of the Service; (d) harass, abuse, or harm another person; or (e) impersonate any person or entity or misrepresent your affiliation with any person or entity.
10. Suspension and Termination
10.1. We may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice, if we reasonably believe you have violated these Terms or if required by law. Upon termination for breach, you shall not be entitled to any refund.
10.2. You may terminate your account at any time by contacting us at legal@wamplerpedals.com. Sections 4, 5, 6, 7, 8, 11, and 12 shall survive any termination of these Terms.
11. Modifications to the Service and to These Terms
11.1. We reserve the right to modify, suspend, or discontinue the Service, or any feature thereof, at any time, with or without notice. We recommend that you regularly export copies of User Content that is important to you.
11.2. We may revise these Terms from time to time. The "Last updated" date at the top of these Terms indicates when they were last revised. For material changes, we will provide notice by email to the address associated with your account or by a prominent notice within the Service. Your continued use of the Service after the effective date of any revision constitutes your acceptance of the revised Terms.
12. Governing Law and Dispute Resolution
12.1. These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Indiana, USA, without regard to its conflict-of-laws principles.
12.2. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Morgan County, Indiana, and you consent to the personal jurisdiction of and venue in such courts.
13. General Provisions
13.1. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wampler Pedals, Inc. regarding the Service and supersede all prior agreements and understandings.
13.2. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
13.3. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
13.4. You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
